GENERAL TERMS AND CONDITIONS FOR LEGAL CONSULTANCY SERVICES

These General Terms and Conditions apply to all legal consultancy services provided by SilverStart Legal, with a registered office at POD 2, The Old Station House, 15A Main Street, Blackrock, Dublin, Ireland. By engaging our services, you agree to be bound by these Terms, as well as all related policies and documents referenced herein.

1. Introduction

These Terms govern the provision of legal consultancy services by SilverStart Legal. By engaging our services, the Client agrees to comply with these Terms. Unless otherwise agreed, our consultations are conducted exclusively online, offering our clients considerable time savings, wherever and whenever they require. We adhere to the European Directive on the protection of online service providers, ensuring enhanced protections, increased transparency, and specific advantages for online service providers.

2. Scope of Services

We provide legal advice and consultancy services primarily within the European Union and internationally through our network of trusted partners. Our services include, but are not limited to:

• Legal advice and opinions on EU and international legal matters
• Document preparation, drafting, and review
• Representation and assistance in negotiations
• Regulatory compliance advice, including GDPR, data protection, and compliance with the
European Directive on the protection of online service providers
• Business structuring and contractual drafting
• Cross-border legal coordination with partner firms

These services are advisory in nature and should not be construed as guarantees of specific outcomes. Specific details of each engagement will be outlined in a separate engagement letter or agreement, ensuring that services are customized to the Client’s specific needs.

3. Client Obligations

The Client agrees to:
• Provide accurate, complete, and timely information necessary to facilitate our advice and recommendations.
• Respond promptly to requests for information or decisions.
Failure to fulfill these obligations may impact the quality and timeliness of our services, and SilverStart Legal shall not be liable for any outcomes arising from insufficient or inaccurate information provided by the Client.

4. Fees and Payment

• Our fees are outlined in a separate agreement or engagement letter and may be based on
hourly rates, flat fees, or other agreed-upon structures.
• All fees are subject to applicable VAT in the EU. Invoices are due immediately or within 14
days of the invoice date unless otherwise agreed in writing.
• Late payments may incur interest in accordance with the European Directive on Late Payment or at the rate specified in the agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of all information exchanged during the consultancy relationship, except where disclosure is required by law or explicitly authorized by the Client. SilverStart Legal upholds strict confidentiality standards in compliance with EU and Irish privacy laws.

6. Intellectual Property

All documents or deliverables created by SilverStart Legal during the provision of services remain our intellectual property, unless otherwise agreed in writing. The Client is granted a non-exclusive, non-transferable license to use these documents solely for the purposes for which they were provided.

7. Limitation of Liability

SilverStart Legal’s liability for any claims arising from this agreement is limited to the amount of fees paid by the Client for the specific service giving rise to the claim. This limitation does not apply in cases of gross negligence, bad faith, or intentional misconduct by SilverStart Legal. In no event shall we be liable for indirect damages, including loss of profits, revenue, or any other indirect financial harm suffered by the Client.

8. Data Protection

We comply with the General Data Protection Regulation (GDPR) and all other applicable data protection laws in the EU, in line with the European Directive on the protection of online service providers. 9. Termination of Services

• Either party may terminate this agreement by providing 30 days’ written notice, whether for
a short-term, medium-term, or long-term project. The right of withdrawal is 14 days and
must be exercised before the service is provided.
• Termination or withdrawal does not affect the Client’s obligation to pay any outstanding
fees, nor our obligation to provide reports for work already performed up to the termination
date.
• Online services, once provided, are non-refundable.
• Any additional expenses incurred by SilverStart Legal for the services provided will be
charged to the Client.

10. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through mediation before pursuing other legal remedies. Should mediation fail to resolve the dispute, the parties agree that disputes shall be resolved under the exclusive jurisdiction of the courts of Dublin, Ireland.

11. Governing Law

These Terms are governed by the laws of Ireland and the European Union. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dublin, Ireland.

12. Amendments

We reserve the right to modify these Terms at any time. Clients will be informed of significant changes, and continued use of our services constitutes acceptance of the updated Terms. Any modification of the present conditions will be notified in writing to the customer, who will have a 14-day withdrawal period.
